Saudi Arabia: New Commercial Registration Law and Trade Name Law
17-Oct-2024 RIYADH - The Kingdom of Saudi Arabia approved two significant legislations on September 17, 2024: The Commercial Registration Law and the Trade Name Law. These Laws will be published in the official KSA gazette and are expected to take effect one hundred and eighty days after their publication, replacing the current legislative framework. This reform aligns with the economic and technological advancements in KSA as part of the Saudi Vision 2030.
The new Laws bring essential changes in the registration framework for entities and procedures concerning trade names, including:
- Companies can now reserve a trade name before officially registering it. This reservation can be extended, allowing companies to secure their preferred trade names in advance.
- The Law sets specific criteria for the registration or reservation of trade names, as well as guidelines for prohibited names.
- Companies can now use Arabic, non-Arabic, Arabized words, or combinations of letters and numbers in their trade names.
- The transfer of trade name ownership can now be done independently by companies.
- Companies must obtain the consent of the trade name owner before using a reserved or registered name.
